Terms of Service

Last updated September 2026

These terms govern access to pathmarkenergy.com, the estate power assessment form, and the informational material we publish about our build-own-operate model. They do not replace a signed funding, construction, ownership, or operations agreement. Please read them with the Privacy Policy and Cookies Policy.

1. Acceptance of these terms

By browsing this website, downloading material from it, or submitting a form, you agree to these Terms of Service and to our Privacy Policy and Cookies Policy. If you do not agree, you should leave the site and not send an assessment request.

If you are acting for a developer, estate company, joint-venture vehicle, or other organisation, you confirm that you have authority to bind that organisation to these website terms and to the accuracy of what you submit. If you do not have that authority, do not use the form in that organisation's name.

These terms are between you and Pathmark Energy Limited, T007 Plot 1248 Orji Uzor Kalu Close, Mabushi, FCT Abuja. Notices about the website may be sent to info@pathmarkenergy.com.

2. About this website

This site describes Pathmark Energy Limited's model for funding, building, owning and operating solar-hybrid mini-grids for residential estates. It also publishes selected project material — for example Jahi Estate in Abuja — and provides a channel to request an estate power assessment. The site is a marketing and information channel. It is not a customer portal, a prepaid-token shop, or a live telemetry dashboard.

Nothing on these pages is an offer to finance, construct, own, or operate energy infrastructure. Nothing is a solicitation of investment in Pathmark Energy, Pathmark Holdings, or any project company. Nothing is a warranty of capacity, availability, tariff, commissioning date, or carbon performance for a site we have not designed and contracted.

Figures, photographs, and reliability statements from a reference plant describe that plant under the conditions in which it was measured. They are not a promise that a different estate, soil type, load shape, or irradiance profile will produce the same result. Engineering conclusions are reached only after site-specific work.

3. Who may use the site

The site is intended for property developers, estate managers, institutional counterparties, and their professional advisers. You must be at least 18 years old and able to form a binding contract under Nigerian law. We do not provide consumer household accounts through this website.

We may refuse, suspend, or withdraw access to the form or to particular pages if we reasonably believe the terms are being broken, if the form is being abused, or if we need to protect the site or other users.

4. Assessment requests

Submitting the contact form is a request that our engineering desk review your estate profile. It is not an application for credit, a booking of construction capacity, or a reservation of capital. We aim to respond within 24 hours on Nigerian business days. That window is a service target. It is not a contractual service level, and public holidays, incomplete files, or unusually complex sites may take longer.

We may decline a request, ask for more information, suggest a different product, or pause a conversation at our discretion. Typical reasons include an estate that is too small or too early for our model, missing authority to speak for the landowner, or a request that is not about estate-scale infrastructure.

Any later engagement — site audit, detailed design, funding, EPC, ownership, operations, or prepaid metering — is governed only by a separate written agreement signed by authorised representatives. Until that agreement is fully executed, neither party is obliged to proceed, to keep a price open, or to refrain from talking to others, unless a signed exclusivity or NDA says otherwise.

You warrant that the information you send is accurate to the best of your knowledge, that you are entitled to share it, and that it does not infringe another person's rights. Do not upload material that belongs to a third-party consultant or landowner without permission. If a file later proves to be wrong in a way that matters to design or safety, you will correct it promptly when we ask.

5. Material you send us

You remain the owner of drawings and data you submit, subject to any rights your own consultants already hold. By sending material through the form or by email you grant Pathmark Energy a non-exclusive licence to use, copy, and share that material internally and with bound advisers solely to evaluate the enquiry and, if a project proceeds, to perform the later agreement. We will not publish your unpublished master plan as a case study without permission.

You agree that we may keep a copy for the retention periods in the Privacy Policy, including where we need it to show how a proposal was prepared or to defend a claim.

6. Intellectual property

The Pathmark Energy name, wordmark, red and zodiac-blue brand system, page layout, copy, project photography, and telemetry illustrations on this site are owned by Pathmark Energy Limited or licensed to us. Pathmark Holdings and related names are used with permission of the group.

You may view the pages, print a reasonable number of copies for internal evaluation of a possible project, and share a link to a public URL. You may not copy the site as a whole, scrape it with automated tools, frame it, reverse-engineer any underlying code beyond what applicable law allows, or use our marks in a way that suggests we have endorsed your estate, fund, or product without written consent.

Third-party images and map or stock references remain the property of their owners. If you believe a page infringes your copyright, write to info@pathmarkenergy.com with a description of the work and the URL.

7. Acceptable use

You agree not to:

  • interfere with the site, its hosting, security controls, or other users' access;
  • submit false identities, impersonate a public official or another developer, or flood the form with automated or repeated junk;
  • attempt to reach non-public systems, plant telemetry, prepaid-vending platforms, or resident data through this site;
  • introduce malware, scrapers that degrade service, or content that is unlawful, defamatory, or infringing;
  • use published project figures to misrepresent Pathmark Energy in a prospectus or bid without checking the underlying facts with us.

We may block an IP address, discard a submission, or report conduct to the relevant authority where we reasonably believe these rules have been broken.

8. Third-party services and links

The assessment form is processed by Formspree. Hosting, fonts, and content-delivery tools may also sit with third parties. Those providers have their own terms and privacy notices. We are not responsible for their independent acts, except to the extent Nigerian law makes a controller responsible for its processors.

The site may link to Pathmark Group companies or to external references (regulators, news, or research). A link is not an endorsement. We are not responsible for content, availability, or privacy practices on websites we do not operate. You leave pathmarkenergy.com at your own risk when you follow those links.

9. Disclaimer of warranties

The site is provided "as is" and "as available". To the fullest extent permitted by Nigerian law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement in relation to the website itself.

We do not warrant that pages will be uninterrupted, timely, or free of typographical error; that published project metrics will apply to your development; or that a particular capital structure will be available when you are ready to close. Tariff, diesel-displacement, and availability numbers on a case-study page are historical or design-basis figures for that plant. They are not a guarantee for another site.

Advice on this website is general. It is not a substitute for a site visit, a load study, or counsel on land, planning, or NERC licensing.

10. Limitation of liability

To the fullest extent permitted by Nigerian law, Pathmark Energy Limited and its directors, employees, and group companies are not liable for indirect, incidental, special, punitive, or consequential loss arising from use of this website or reliance on published information. That includes lost opportunity on a real-estate programme, lost profit, delay to a sales launch, or the cost of a competing power design.

Our aggregate liability arising from the website and an uncontracted assessment request is limited to a refund of any fee you actually paid us for that website use (which, today, is none) or ten thousand naira, whichever is higher. This cap does not apply to a signed project agreement, which will contain its own liability regime.

Nothing in these terms excludes liability that cannot legally be excluded, including fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

11. Indemnity

You agree to indemnify Pathmark Energy Limited against claims, losses, and reasonable legal costs arising from your breach of these terms, from material you submit that infringes a third party's rights, or from your misuse of the site, except to the extent a claim is caused by our own fraud or negligence.

12. Availability and force majeure

We may suspend the site for maintenance, security, or events beyond our reasonable control — including power or network failure at the host, industrial action, or a change in law. We are not liable for delay or unavailability caused by those events. The public form is not a safety-critical reporting channel. Emergencies at an operating plant should go through the operations desk named in that plant's resident or developer handbook, not through this marketing site.

13. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of the Federal Capital Territory, Abuja, have exclusive jurisdiction over disputes that arise from this website or from an uncontracted assessment request.

If you later sign a project agreement, that agreement's governing law, venue, and any arbitration clause will apply to the project itself. These website terms continue to apply to your use of the public site.

Before filing a claim about the website, please write to info@pathmarkenergy.com so we have a short opportunity to resolve it. That courtesy does not extend any limitation period.

14. General

If a court finds one provision unenforceable, the rest of these terms remain in force. A failure to enforce a right is not a waiver. You may not assign your rights under these website terms. We may assign them to a Pathmark Group company or to a successor of the energy business.

These terms, together with the Privacy Policy and Cookies Policy, are the entire agreement between you and us about use of this website. They do not create a partnership, joint venture, or employment relationship.

15. Changes

We may revise these terms by updating this page. The "Last updated" date shows the current version. If a change is material — for example a new limitation or a change in how assessments are handled — we will reflect it in the revised text. Continued use of the site after an update constitutes acceptance of the new version. If you have a signed project agreement, that agreement is not amended by a website update unless the agreement says so.
